Certification Licence

This Certification Licence ("Licence") governs your use of the proprietary assessment instruments, frameworks, and marks of OSQ International Inc. ("OSQ", "we", "us") that are made available to you because you hold a credential we have issued. It supplements — and does not replace — our Terms of Use and Privacy Policy. Where this Licence and the Terms of Use conflict on a matter of certification, instruments, or marks, this Licence controls.

This Licence applies only to holders of a credential issued by us, including the VALID™ Practitioner credentials and any successor or additional credential we issue (each, a "Credential"). If you do not hold a Credential, this Licence does not apply to you.

1. What the Credential grants

Subject to your continuing compliance with this Licence, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence, for the period your Credential is valid and in good standing, to:

  • administer the proprietary instruments your Credential covers (which may include VALID™, EJI™, and DI360™) to your own clients, through the Service;
  • generate, interpret, and deliver the resulting reports to those clients in the course of your practice; and
  • describe yourself, accurately and without embellishment, as holding the Credential you actually hold.

Taking the instruments yourself needs no licence. Running any instrument on your own record — including while training toward a Credential, and including after declining this Licence — is not administering it to anyone and is governed by the Terms of Use, not by this Licence. Nothing here restricts your access to your own profile or your own results.

A Credential is a licence, not a purchase. You acquire no ownership of any instrument, item bank, scoring logic, report format, framework, methodology, or mark. All such rights remain ours.

2. What the Credential does not grant

You may not:

  • sublicense, resell, rent, share, or otherwise make the instruments available to any person who does not hold the required Credential, including colleagues within your own organization;
  • copy, reproduce, adapt, translate, or create derivative works from any instrument, item, scoring method, report, or framework;
  • reverse-engineer or attempt to derive item banks, scoring logic, weightings, norms, or algorithms, whether from reports, exports, the interface, or otherwise;
  • administer any instrument outside the Service, including by transcribing, reconstructing, or reformatting items into another medium, tool, or platform;
  • use any instrument, framework, or mark to build, train, benchmark, or evaluate a competing product or service; or
  • represent, imply, or permit any inference that a person, organization, method, or product is certified, accredited, endorsed, or approved by us when it is not.

3. Use of our marks

"The Validated Mind", "VALID", "EJI", "DI360", "Validated OS", and our logos and related brand assets are our marks. While your Credential is valid you may use the credential name and any badge we supply to identify the Credential you hold, in the form we provide, and only in connection with your own practice.

You may not: alter our marks; incorporate them into your own business name, product name, logo, domain, or handle; register or attempt to register them or anything confusingly similar; or use them in a way suggesting partnership, employment, joint venture, endorsement, or an affiliation that does not exist. All goodwill from your use of our marks accrues to us. We may require you to correct or cease any use we consider inaccurate or damaging, and you agree to do so promptly.

4. Assessments and personal-profile data you bring from elsewhere

Some instruments are delivered by us, inside the Service: the proprietary ones this Licence covers, and openly available or public-domain instruments we implement and administer, which need no credential and no third-party licence to use here. Those are not what this section is about.

This section is about data produced outside the Service. The Service can store, display, and use assessment results, psychometric scores, personality or behavioural profiles, and similar personal-profile data generated elsewhere, as data points that inform decisions, decision groups, and related analysis.

For all such data:

  • We do not administer, license, score, or interpret those instruments. The Service records values you enter or import. It is a filing surface for data you already hold, not a delivery mechanism for anyone else's assessment.
  • We are not affiliated with, endorsed by, or acting as a distributor for the publisher of any such instrument, and nothing in the Service should be read as suggesting otherwise.
  • You are solely responsible for holding whatever certification, licence, or authorization that instrument's publisher requires in order to administer, score, interpret, retain, or share it. Entering results into the Service neither grants nor substitutes for that authorization.
  • You warrant that you have the rights, consents, and lawful basis to input that data, to have it processed here, and to use it for the purposes you use it for — including any consent required from the individual it describes.
  • Any output that combines this data is your professional judgement, not ours. We make no representation about the validity, reliability, currency, or fitness for any purpose of instruments we did not author.

You will indemnify us against any claim arising from data you input in breach of this section, including any claim by an instrument's publisher.

5. Keeping the Credential

Your Credential remains valid only while you meet the requirements we publish for it, including any continuing-education, recertification, supervision, or ethics requirements, and while your account is in good standing. We may verify your status at any time.

6. Ethics, conduct, and our right to restrict

You will conduct your practice ethically and competently, use the instruments only within the scope of your training, and comply with our Ethics Policy and brand-use policy as they change from time to time. Section 9 of that policy sets out the duties specific to credential holders.

We may suspend, restrict, or revoke your Credential and your access to the instruments — in whole or in part, with or without notice — where we determine, in our reasonable discretion, that:

  • you have breached this Licence, our Ethics Policy, or our brand-use policy;
  • you have misrepresented your credential status, our instruments, our methodology, or your relationship with us;
  • your use of our marks is inaccurate, misleading, or damaging to our reputation; or
  • your conduct presents a risk of harm to a client, to a research participant, or to the integrity of the instruments.

Where circumstances reasonably permit, we will tell you what we consider to be wrong and give you an opportunity to correct it. Where the conduct is serious, or where continued access presents a risk, we may act immediately.

7. If you decline this Licence

You are not required to accept this Licence. If you decline, you keep access to the rest of the Service under the Terms of Use, but the certified instruments are locked for use with other people: you will not be able to administer them to anyone else or issue new reports about anyone else from them.

Three things are deliberately unaffected. Reports already generated remain available to read. Instruments outside this Licence — including the openly available ones we administer — keep working normally. And you may still take the certified instruments on yourself, because that was never something this Licence granted. You may accept at any later time to restore full access.

8. When the Licence ends

This Licence ends when your Credential lapses or is revoked, when you decline it, or when your use of the Service ends. On termination you must stop administering the instruments, stop using our marks, and stop describing yourself as holding a Credential you no longer hold.

Reports you have already delivered to your clients remain yours and theirs to keep — nothing here requires you to withdraw work already done. Sections 2, 3, 4, and 9 through 11 survive termination.

9. Confidentiality of instrument content

Item banks, scoring logic, weightings, norms, and unpublished framework materials are our confidential information and trade secrets. You will not disclose them to any person who does not hold the required Credential, and you will protect them at least as carefully as you protect your own confidential information.

10. No warranty; limitation of liability

The instruments are provided as is. We disclaim all warranties to the fullest extent permitted by law, including any warranty that an instrument is fit for a particular purpose, that a score predicts any outcome, or that any result is suitable for a decision with legal or similarly significant effects on a person. The instruments are decision-support tools, not a substitute for your professional judgement. Our aggregate liability under this Licence is subject to the limitations in the Terms of Use.

11. Changes to this Licence

We may update this Licence. When a change is material we will publish a new version and ask you to accept it; if you decline, Section 7 applies. Your continued administration of the instruments after a version takes effect constitutes acceptance of it.
